Service Agreement & Terms of Service
These terms govern SEP's standard digital marketing, website, local search, reputation and GEO / AI Search Optimization packages purchased through this website or an SEP order.

1. Agreement and Acceptance
These Service Agreement and Terms of Service (“Terms”) are between Search Engine Profiling LLC (“SEP,” “we,” “us”) and the person or business purchasing or authorizing services (“Client”). By submitting payment, approving an order, or authorizing SEP to begin work, Client acknowledges the selected service package, pricing, billing schedule, applicable minimum term, scope limitations and these Terms. Any written SEP order or proposal accepted by Client becomes part of this agreement. If a specific written order conflicts with these general Terms, the specific written order controls for that service.
2. Services and Scope
SEP will provide the services identified in the package or written order purchased by Client. Ongoing optimization work is generally performed one to two times per month according to the requirements of the account and the work SEP reasonably determines is appropriate within the selected package. Review-response management, where included, is performed once per monthly billing cycle. Services are not unlimited unless expressly stated in writing.
Packages containing website creation or redesign include one initial website build or redesign, up to forty (40) hours of SEP labor, and three to five (3–5) revision rounds before final delivery. Requests exceeding the included labor, additional redesigns, custom applications, advanced integrations, e-commerce, substantial new functionality or other work outside the package may require a separate quote and authorization.
3. Startup Package and Start of Work
Each standard package begins with a startup package covering the initial onboarding, research, analysis, planning, configuration, creative, technical and implementation work plus an included initial period of ongoing service. Get Found and Get Chosen include the first two (2) months of ongoing service. Own the City and Future-Proof include the first three (3) months of ongoing service. Client may purchase the startup package at the stated discounted pay-in-full price or, where offered, through the stated startup payment plan. Payment of the required initial amount is due before work begins.
4. Recurring Billing
No separate regular recurring monthly service charge is due during the service months already included in the startup package. After the applicable included period ends, regular recurring service is billed at the monthly rate stated for Client's plan: $199 for Get Found, $349 for Get Chosen, $649 for Own the City, or $1,249 for Future-Proof, unless a later written SEP order changes that rate. Client authorizes the applicable charges selected at checkout or in the applicable order.
5. Minimum Terms and Month-to-Month Continuation
Get Found is month-to-month and its startup package includes the first two (2) months of service. Get Chosen carries a six (6) month minimum service term, with its first two (2) months included in the startup package. Own the City carries a six (6) month minimum service term, with its first three (3) months included in the startup package. Future-Proof carries a twelve (12) month minimum service term, with its first three (3) months included in the startup package. The included service months count toward the applicable minimum term. After the minimum term is completed, service automatically continues month-to-month at the then-current agreed rate until canceled in accordance with these Terms or a written order.
6. Failed or Overdue Payments
If a payment fails, is declined, reversed or becomes overdue, SEP may pause ongoing work, publication, reporting, account management and other continuing services until the account is brought current. A service pause caused by nonpayment does not require SEP to perform missed work retroactively and does not waive amounts already due. SEP may also suspend package exclusivity while an account is delinquent.
7. Cancellation
Client may cancel month-to-month service for future billing. Plans subject to a minimum service term remain subject to that minimum commitment. After the minimum term, the service continues month-to-month until canceled. Cancellation stops future month-to-month service after the effective cancellation date but does not retroactively cancel authorized work already performed, setup work, accrued charges or amounts otherwise due under an applicable minimum term. Any specific cancellation procedure or notice stated in Client's written order will also apply.
8. Refunds and Work Already Performed
Because SEP provides customized professional, technical and creative services, setup payments and service fees become earned as the associated work is performed. Once work has begun, amounts attributable to work already performed are non-refundable except where required by applicable law or expressly agreed by SEP in writing. SEP will evaluate legitimate billing or fulfillment concerns in good faith.
9. Payment Disputes and Chargebacks
Client agrees to contact SEP promptly regarding a billing or service concern before initiating a payment dispute or chargeback so SEP has a reasonable opportunity to investigate and address the issue. A chargeback or payment reversal does not by itself cancel this agreement or eliminate amounts legitimately due for authorized services already performed. SEP may provide the payment processor, card issuer or other relevant institution with records reasonably necessary to document Client's authorization and SEP's performance, including the applicable order, these Terms, invoices, communications, reports, account activity and deliverables, subject to applicable law and privacy obligations.
10. Website Ownership, Domain Names and Hosting
A website created by SEP specifically for Client under a paid package is Client property, subject to payment of amounts due for the work and excluding SEP-owned tools, licenses, systems or third-party components that are not transferable. While monthly service remains active and current, SEP may host and manage the website as part of the package. Upon cancellation and satisfaction of outstanding amounts, SEP will reasonably cooperate in transferring or migrating the Client-owned website to hosting selected by Client.
If SEP purchases or registers a domain name using SEP funds or an SEP-controlled registrar account, that domain remains property of SEP unless SEP expressly agrees in writing to transfer ownership. SEP's hosting accounts, servers, infrastructure, internal systems, software, tools, processes and licenses remain SEP property. Hosting included with a package is a service benefit while the applicable monthly account remains active and paid; hosting or website files may be migrated or transferred as appropriate following cancellation.
11. Client Materials and Access
Client represents that it has the right to provide SEP with business information, trademarks, logos, photographs, text, credentials and other materials supplied for the project. Client remains responsible for the accuracy and legality of Client-supplied information. Client agrees to provide timely access, approvals and materials reasonably required for SEP to perform the services. Delays caused by missing Client information, access or approvals do not make completed or in-progress SEP work undelivered.
12. Exclusivity
Every active standard package includes SEP client exclusivity for one defined primary industry/category within the agreed city or market. SEP will not knowingly accept another active client in that same defined primary category and market while Client's account remains active and current. The protected category and geographic market will be established during onboarding or in Client's order. Exclusivity does not automatically extend to related specialties, adjacent industries, additional brands, additional locations, neighboring cities or other territories not expressly included. Exclusivity may be suspended during delinquency and ends when the applicable SEP service ends.
13. SEP Performance Commitment and Third-Party Platforms
SEP commits to professionally implementing and maintaining the technical, content, local, reputation, authority and machine-readable optimization work included in Client's selected plan that SEP reasonably determines is necessary to compete for leading visibility and to build a stronger digital presence than identified competitors. SEP will use competitive observations and available performance information to guide ongoing optimization within the purchased scope. Search engines, map providers, directories, social/review platforms and AI systems independently determine their own indexing, rankings, approvals, citations, recommendations and displays. Accordingly, SEP's performance commitment applies to the quality, scope and competitive execution of SEP's work and does not constitute a promise of a specific numbered ranking, citation, recommendation, traffic volume, lead volume or revenue result controlled by a third party.
14. Changes to Third-Party Services
Third-party platforms may change features, APIs, policies, eligibility requirements or availability. SEP may reasonably adjust methods or substitute comparable work when a third-party change makes a particular tactic unavailable or impractical, while preserving the general purpose of the purchased service where reasonably possible.
15. Intellectual Property and SEP Methods
Client receives ownership or usage rights in Client-specific deliverables as stated in these Terms or the applicable order. SEP retains ownership of its pre-existing materials, methodologies, processes, know-how, templates, internal documentation, software, tools, systems and reusable components. Nothing in a standard package transfers SEP's underlying methods, internal systems or proprietary operating materials.
16. Performance Standard and Commercial Results
SEP's standard is to perform the purchased services with the objective of outperforming the digital presence of identified competitors and pursuing top visibility within the selected scope. Digital marketing, search optimization, reputation development and AI/search visibility are also affected by competition, market conditions, Client history, third-party algorithms and other external factors. SEP therefore guarantees its professional implementation and competitive optimization effort within the purchased scope, rather than a specific sales, revenue, lead-volume or third-party placement result.
17. Communications and Records
Client agrees that electronic communications, approvals, invoices, payment records and project records may be used to document instructions, authorization, scope and fulfillment. Client is responsible for keeping its contact and billing information current.
18. General Terms
If any provision of these Terms is determined to be unenforceable, the remaining provisions will continue to apply to the extent permitted by law. SEP's failure to enforce a provision on one occasion does not waive it on another. These Terms may be supplemented by a signed or electronically accepted order, proposal or statement of work.
Important: These Terms describe SEP's standard commercial service policies and are not intended to waive consumer or other rights that cannot lawfully be waived. Specific orders may contain additional or different terms.
